Creator Agreement

Independent contractor terms for creators who want to receive payouts. This is a standard template and must be reviewed by a licensed attorney (and your tax adviser) before you pay anyone real money. Items in [brackets] are decisions for you and your attorney.

This Creator Agreement ("Agreement") is between CH Entertainments LLC ("we", "us", "StreamHub"), [COMPANY ADDRESS], and the person who signs it electronically below ("you", "Creator"). It adds to the Terms of Service, Privacy Policy and Community Guidelines, which still apply. If they conflict about payouts, this Agreement controls.

1. Independent contractor

You are an independent contractor, not our employee, partner, agent or joint venturer. You decide when, how often, where and what you stream. We do not control the manner or means of your work, we provide no training, tools, equipment or office, and you may stream elsewhere. You are not entitled to wages, benefits, paid leave, insurance or workers' compensation from us. You have no authority to bind us to anything. Nothing here guarantees that you will earn any amount.

2. Who can join the Creator program

You must (a) be at least 18, (b) be a "US person" for tax purposes (a US citizen or resident, or a US-organized entity) and be able to give us a valid IRS Form W-9, (c) have an account in good standing with a verified email, (d) hold one Creator account only, and (e) follow the Community Guidelines and the law. We may decline or end participation at any time for any lawful reason. Creators who are not US persons are not supported yet.

3. Payments

Source of earnings. Earnings come from viewers' gifts and Super Fan subscriptions as calculated in the app. Coins and in-app credits are not cash, a bank balance or property. Cash payouts happen only when a payout is turned on for your account, only after we approve your tax information, and only by the methods and schedule we publish. [Payout schedule, minimum payout, creator share percentage and processing fees: to be set by you and shown in the app.]

Minimum payout. We pay out only when your balance (gift earnings plus any ad revenue share and contest prizes, less anything already paid to you) is at least US $150.00. A smaller balance carries over until it reaches that amount.

Ad revenue share. Each month we may share part of the profit from advertising shown on StreamHub with creators. The share is 70% of the month's advertising revenue after our costs and after any marketing we have already spent that month, divided between creators in proportion to the coins viewers gifted each of them that month. We keep the rest. A creator's ad share for a month can never be more than what gifts earned that creator in that month, and gifts that two accounts send back and forth to each other do not count. The amounts depend on real advertising income, which can be zero, and nothing in this section promises any minimum.

No trading and no gaming. Coins and diamonds cannot be sold, traded, transferred or converted into one another. You may not buy coins to gift yourself, your own accounts or friends in order to earn payouts, ad share or contest prizes, or arrange gifts back and forth. We may remove earnings from, hold payouts to, suspend or close accounts we believe do so.

Contests. We may run contests with bonus-diamond prizes. Entry is free. The rules, dates, points and prizes are shown on the contest page. Results are counted by us, we may remove anyone who cheats (for example fake viewers, fake chat or self-gifting), and our decision is final. Prizes are added to your earnings after we check the results and are paid out under this Agreement, including the minimum payout and the tax rules.

Holds and reversals. We may delay, withhold or reverse a payout, and remove earnings, to cover chargebacks, refunds, fraud, payment disputes, content violations, legal orders, or amounts you owe us. We will tell you why unless the law forbids it.

Chargeback hold and clawback. Earnings from gifts stay on a hold before they count toward a payout. The hold is normally 30 days for gifts from established supporters and up to 60 days for gifts from new accounts or newly used cards, and we may change these periods. If the purchase behind a gift is refunded, reversed or disputed, the matching earnings are taken back, even if they were already shown on your balance, and if they were already paid out you agree to repay them or let us deduct them from future payouts. We may also pause payouts while we review suspected fraud.

No payment without tax information. We will not release a payout until you have signed this Agreement and we have approved your W-9. If your tax ID is missing or the IRS tells us it does not match, the law may require us to withhold part of your payments (backup withholding) and send it to the IRS. You agree we may do so.

4. Taxes

You are solely responsible for all taxes on what you earn, including income tax and self-employment tax. We do not withhold taxes from your payouts except where the law requires (for example backup withholding). If you earn at or above the reporting threshold in a calendar year, we will report your payments to the IRS and state authorities on the required form (for example Form 1099-NEC or 1099-K) and give you a copy. Thresholds and rules change; we follow the law in effect for the year. We do not give tax advice.

Electronic delivery. You agree we may deliver tax forms, payout notices and this Agreement electronically, to the email on your account and in the app. You can ask for a paper copy at [CONTACT EMAIL]. You must keep your email and mailing address up to date. This consent stays in force until you withdraw it in writing; withdrawing it may end your eligibility for payouts.

5. The information you give us

Everything you give us, including your legal name, address and Social Security Number or EIN, must be true, complete and yours. You must update it within 30 days of any change. We store your tax ID encrypted, restrict who can see it, and use it only for tax reporting, identity and fraud checks, and legal compliance, as described in our Privacy Policy. We keep tax and payment records for at least 7 years (or longer if the law requires), even after you close your account.

6. Your content and our rights

Your content stays yours, and you give us the license described in the Terms of Service. You promise you have all rights to the content you stream (including music, video and the images of anyone who appears), that it does not infringe anyone's rights, and that it follows the Community Guidelines. We may remove content and suspend or end your Creator access if it does not.

7. Confidentiality and conduct

Keep non-public information about StreamHub, its users and its payout system confidential and use it only to take part in the program. Do not manipulate viewer counts, gifts or earnings, use stolen payment methods, run self-gifting schemes, or open multiple accounts to collect payouts.

8. Term and ending

This Agreement lasts until either of us ends it. You can end it at any time by emailing [CONTACT EMAIL] or deleting your account. We can end or pause it at any time. Sections about taxes, records, content rights, indemnity, liability and disputes survive. Earned, payable amounts that you are entitled to and that we have not reversed under section 3 will be paid after the next regular payout date, subject to tax rules.

9. Indemnity and liability

You will defend and reimburse us for claims, losses and costs arising from your content, your breach of this Agreement or the law, or your taxes. To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages or lost profits, and our total liability for anything related to the Creator program is limited to the amount we paid you in the 3 months before the claim. Some places do not allow these limits, so they may not apply to you.

10. Electronic signature

You agree that typing your full legal name and clicking to sign is your legal signature under the federal E-SIGN Act and state electronic-transactions laws, and has the same effect as signing on paper. We keep a record of what you signed: the exact text (as a fingerprint), your typed name, the date and time, your IP address and device information. You agree you can access and keep this document (you can print it or save it from this page).

11. Governing law and disputes

This Agreement is governed by the laws of [STATE] and applicable federal law. [Dispute resolution (courts or arbitration, class-action waiver, venue): your attorney should decide this section before launch.] We may update this Agreement. If we make a material change we will ask you to sign the new version before your next payout.

12. General

This is the whole agreement about the Creator program. If part of it is unenforceable, the rest stays in force. You may not transfer it; we may transfer it in a merger or sale. Not enforcing a term is not a waiver. Notices to us go to [CONTACT EMAIL].
