Terms of Service

Last updated: see version below. These Terms are a standard template and should be reviewed by a licensed attorney before launch.

These Terms of Service ("Terms") are an agreement between you and CH Entertainments LLC ("we", "us"), the company that owns and operates StreamHub (also called VibeMatch, "StreamHub"). They govern your use of the StreamHub website, mobile apps and live-streaming services (the "Service"). By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Community Guidelines. If you do not agree, do not use the Service.

1. Who can use StreamHub

You must be at least 18 years old. StreamHub includes live video, chat and dating-style features intended only for adults. We do not knowingly allow anyone under 18 to use the Service. If we learn that a user is under 18 we will terminate the account. You also confirm that you are legally able to enter into this agreement, are not barred from using the Service under any law, and have not been previously removed from the Service for violating our rules.

The Service is intended for users in the United States.

2. Your account

You are responsible for your username, password and stream key and for everything that happens under your account. Keep them private. Tell us right away at [CONTACT EMAIL] if you think someone else has access. You may not sell, transfer or share your account, or create an account for someone who was removed from the Service.

3. Your content

You keep ownership of the videos, streams, chat messages, photos, posts, comments and other material you share ("Your Content"). You are responsible for it. You promise that you own it or have the rights to share it, and that it follows these Terms and the law.

You give us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, distribute, adapt and promote Your Content in connection with operating, improving and promoting the Service. This license lasts while your content is on the Service and for a reasonable time afterward (for example in backups), and continues for copies that others have shared or saved where the law allows.

Live streams can be recorded, screen-captured and shared by other people. We cannot prevent this. Do not share anything on a stream that you would not want to become public. We may also record or keep copies of streams or reported content for safety, legal and enforcement purposes. Streams are recorded automatically and kept for 72 hours. A streamer can save a recording as a replay, and any viewer can create a short clip of a live stream, which is shown on the streamer's profile; the streamer can delete clips of their stream.

Direct messages. You can message other users unless they have limited who can message them or have blocked you. Messages are not end-to-end encrypted, we may review reported conversations, and they must follow the Community Guidelines. Blocking. You can block anyone; blocked people cannot message you, join your chat or see your streams.

4. Rules

You agree to follow the Community Guidelines. In short: no nudity or sexual content, nothing involving minors, no harassment, hate, threats or violence, no illegal activity, no scams or impersonation, no sharing other people's private information, no spam, and no infringing other people's rights. You also agree not to: break or bypass security or rate limits; scrape or copy the Service by automated means; interfere with other users' streams; reverse engineer the apps; or use the Service to build a competing product.

5. Moderation and enforcement

We may, but are not required to, review content and accounts. We may remove content, limit features, suspend or terminate accounts, and report conduct to law enforcement or other authorities, at any time and for any reason, including violations of these Terms or the law, without notice where appropriate. We do not pre-screen content and users are solely responsible for what they post. You can report content using the Report tools in the app and website (including reporting a whole stream, a chat message or a conversation), or email [CONTACT EMAIL]. Streamers can appoint chat moderators, who may delete messages and time out or ban people in that streamer's chat. Our staff can watch live streams, end a stream and suspend accounts when we think the rules are being broken.

6. Coins, gifts and creator earnings

Coins. Coins are a limited license to use virtual items inside StreamHub, such as sending gifts or subscribing as a Super Fan. Coins have no cash value, are not property, cannot be exchanged for money, and cannot be transferred except as the Service allows. Coins and gifts are non-refundable except where required by law. We may change prices and available items.

Contests and ad share. From time to time we run free-to-enter contests and may share part of our advertising profit with creators. Contest rules and prizes are shown on the contest page. We count the results, may remove anyone who cheats, and may change or cancel a contest to keep it fair. Prizes and ad share are creator earnings under the Creator Agreement, including its US $100 minimum payout.

Buying coins. Coins are sold by CH Entertainments LLC in packs on our website at the prices shown at checkout, in US dollars, and are paid by card through our payment provider (we never see or store your card number). Buying coins is only for adults 18 or older. Coins are added to your account after the payment is confirmed, usually within seconds. Because coins are digital items that are available to use immediately, all coin sales are final except where the law requires otherwise or where we decide to refund an unused purchase. If a payment is refunded, reversed or disputed (a chargeback), we remove the matching coins from your account, which may leave your balance below zero until it is paid back, and we may suspend the account. Opening a chargeback instead of contacting us first may lead to permanent closure. There is a limit on how many coins one account can buy in 24 hours. Prices, packs and bonus coins can change at any time and do not affect coins you already own. If you tell us you bought coins by mistake, contact us as soon as possible.

Verified accounts, limits and fraud checks. To protect people from stolen cards and chargebacks, we may require a verified email address and a verified US mobile phone number (internet or "VoIP" numbers are not accepted) before you can send higher-value gifts or buy larger amounts of coins. New and unverified accounts have lower daily limits on buying coins and on gifting, and gifts above a set size may unlock only some time after your first purchase. We may check your card's security code and billing ZIP code and ask your bank for extra authentication (such as 3D Secure), decline or refund a payment that looks risky, block a card that has been used for fraud or disputes, and pause buying or gifting on an account while we look into it. If you open a dispute with your bank, we may give the bank records of your purchases, gifts, sign-ins and agreement to these Terms.

Test mode. While the Service is in testing, free "test coins" may be provided. They are not real money, have no value, and may be reset or removed at any time.

Creator earnings. Earnings shown to creators are in-app credits calculated from gifts received. They are not a bank balance. Cash payouts, if and when we offer them, will be subject to our Creator Agreement (an independent-contractor agreement you sign electronically), identity verification, tax forms (such as IRS Form W-9), minimum thresholds, fraud review, and applicable taxes. We may withhold or reverse earnings that result from fraud, chargebacks or violations of these Terms.

Super Fan subscriptions. A Super Fan subscription is a paid monthly subscription (priced in coins as shown at purchase). It renews automatically every 30 days until you cancel. You can cancel at any time in the app or website under Wallet; you keep Super Fan status until the end of the period you already paid for. We do not give refunds for partial periods except where required by law.

7. Ads and third-party links

The Service may show promotional content, which is labelled "Ad". Ads may link to third-party sites or services. We do not control and are not responsible for third parties, and your dealings with them are your responsibility.

8. Meeting people in real life; no background checks

We do not run background checks and we do not verify who users are or what they say about themselves. Features such as Date Box connect you with strangers over video. Use caution, read our Safety Center, and never send money to someone you meet on the Service. If you choose to meet someone in person, you do so at your own risk. We are not responsible for the conduct of any user, online or offline.

9. Copyright

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. See our Copyright Policy. We terminate accounts of repeat infringers in appropriate circumstances.

10. Ending your account

You may stop using the Service and delete your account at any time from your profile (Edit profile, then Delete my account). We may suspend or terminate your access at any time. When an account is deleted, unused coins and earnings are forfeited. Sections of these Terms that by their nature should survive (such as ownership, disclaimers, limits of liability, and dispute resolution) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT CONTENT FROM USERS IS ACCURATE, SAFE OR LEGAL.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CH Entertainments LLC AND ITS OWNERS, OFFICERS, EMPLOYEES AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100. Some states do not allow certain limits, so some of this may not apply to you.

13. Indemnity

You agree to defend and reimburse us for claims, losses and costs (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or anyone's rights.

14. Resolving disputes

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before filing a claim, you agree to contact us at [CONTACT EMAIL] and try to resolve the issue informally for at least 30 days.

Binding arbitration and class action waiver. Except for the exceptions below, any dispute between you and us will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. You and we each waive the right to a jury trial and to bring or take part in a class, collective or representative action. The arbitrator may award the same individual relief a court could.

Exceptions. Either of us may bring an individual claim in small-claims court, and either may seek court orders to stop infringement or misuse of intellectual property.

Opt out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing [CONTACT EMAIL] with the subject "Arbitration opt-out" and your username.

Governing law. These Terms are governed by the laws of the State of [STATE] and applicable federal law, without regard to conflict-of-law rules. Any claim not subject to arbitration must be brought in the state or federal courts located in [STATE], and you consent to their jurisdiction.

15. Changes

We may update these Terms. If a change is important we will tell you in the app or website and ask you to accept the new version. If you keep using the Service after a change takes effect, you accept it. If you do not agree, stop using the Service and delete your account.

16. Other terms

These Terms, the Privacy Policy and the Community Guidelines are the entire agreement between you and us about the Service. If a part is found unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not assign these Terms; we may assign them in a merger, acquisition or sale of assets. No one other than you and us has rights under these Terms.

17. Notice to California users

Under California Civil Code section 1789.3, California users may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
